Design partner agreement
Every company we work with signs a design partner agreement with Studio Labs Inc. before any data changes hands. This is a plain-language summary; the signed agreement governs.
Purpose of the partnership
Studio and the partner collaborate to evaluate, test, refine, and develop Studio’s simulation platform. Studio may provide access to simulation environments, synthetic population modeling, scenario analysis, dashboards, predictive outputs, and prototype workflows.
The partner uses these outputs internally for evaluation, experimentation, planning, and feedback.
Scope of work
Collaboration covers simulation and evaluation workflows tied to the partner’s business, for example pricing strategy, onboarding, feature-launch simulations, retention, customer segmentation, growth experimentation, messaging, and customer-behavior simulations.
The scope may evolve over the partnership as the product and the partner’s priorities change.
Data access and usage
The partner may, at its discretion, provide internal datasets needed to support simulation: transaction data, analytics exports, segmentation, CRM or behavioral data, and warehouse integrations such as BigQuery.
Studio uses these materials solely to run simulations, generate outputs for the partner, and improve modeling quality, benchmarking, and reliability. Studio may use aggregated, anonymized, non-company-identifiable learnings to improve its general simulation infrastructure.
Studio will not disclose the partner’s confidential information or company-identifiable data to third parties without prior written consent, and will not disclose private company data or plans about launches or products unless approved.
Confidentiality
Each party keeps confidential all non-public information disclosed during the partnership: business information, datasets, technical systems, customer information, strategic plans, simulation outputs, workflows, and reports.
Neither party discloses confidential information to third parties without prior written consent, except as required by law. This obligation survives termination.
Experimental nature of the platform
Studio’s platform is an early-stage, experimental system. Simulation outputs are predictive estimates and directional analyses; they may contain inaccuracies or modeling limitations, and Studio does not guarantee business, financial, or operational outcomes.
All outputs are provided for evaluation and informational purposes only.
Intellectual property and feedback
Studio retains all rights to its software, algorithms, models, simulation infrastructure, workflows, dashboards, outputs, and improvements. The partner keeps its own underlying data and confidential information; no other IP is transferred.
The partner agrees that Studio may use feedback, suggestions, and generalized learnings from the partnership to improve its product.
Fees
The design partnership runs on an unpaid evaluation basis unless otherwise agreed in writing. The parties may separately agree to pilot fees or commercial terms later.
Where mutually agreed, the partner may reimburse incremental compute or higher-capability model costs for large-scale simulation runs.
Term and termination
The agreement runs for an initial term of two months and may be renewed by mutual written agreement. Either party may terminate at any time on written notice.
On termination, the partner discontinues use of Studio’s systems; confidentiality, intellectual-property, liability, and data-usage terms survive.
Publicity
Neither party issues public statements or marketing referencing the other without prior written consent. Studio may reference the partner internally for operational, fundraising, and investor-diligence purposes, keeping the partner’s name anonymous unless approved.
Limitation of liability
To the maximum extent permitted by law, Studio is not liable for indirect, incidental, consequential, special, or punitive damages arising from the agreement or use of the platform. The platform and its outputs are provided on an “as is” and “as available” basis.
The agreement is non-exclusive, the parties are independent contractors, and it constitutes the entire understanding between them on this subject.
